Vendor & Host Terms

This Vendor & Host Terms agreement (this "Agreement") is between you and Alpha Papa Tango ("we," "us," "our," or "the Club"), and supplements our Terms and Conditions (the "Member Terms") and Privacy Policy. It applies to two groups: (1) businesses that partner with us as a Vendor so their location can be used as a Venue for a Gathering, and (2) Members who act as a Host by organizing a Gathering through the Platform. Capitalized terms not otherwise defined here have the meaning given in the Member Terms.

By submitting a Vendor application, signing a Vendor agreement with us, or creating or confirming a Gathering as a Host, you agree to this Agreement.

Part A — Vendor Terms

1. Definitions

  • "Vendor" means a business that has agreed to make a location available as a Venue for Gatherings under this Agreement.
  • "Vendor Materials" means a Vendor's name, logo, menu, photos, and descriptive information that we display in Editorial Content or in connection with a Gathering.
  • Other capitalized terms — Venue, Gathering, Member, Coins, Content — carry the meaning given in the Member Terms.

2. Becoming a Vendor

To become a Vendor, a business must apply and be approved by us. We may accept, decline, or remove any Vendor at our discretion, including based on the business's licensing, reputation, capacity, or fit with our community. Approval as a Vendor doesn't guarantee any minimum number of Gatherings, reservations, or Coins redemptions.

3. Vendor Obligations

As a Vendor, you agree to:

  • honor confirmed Gathering reservations at the agreed date, time, and headcount, and notify us as soon as possible if you can't;
  • keep the hours, menu, pricing, and other details you give us reasonably accurate, and tell us promptly when they change;
  • accommodate a Member's stated dietary preference where reasonably possible, and otherwise let Members know directly if you can't;
  • treat Members and hosts professionally and without discrimination;
  • maintain all licenses, permits, and insurance required to operate lawfully, including any required health, safety, and alcohol-service permits; and
  • comply with applicable law, including accessibility, health and safety, and employment law at your premises.

4. Gathering Logistics and Vendor-Initiated Changes

If you need to change or cancel a confirmed Gathering — for example, due to a closure or staffing issue — notify us as far in advance as possible so we can rebook or notify attendees. A pattern of late changes or cancellations may affect your standing as a Vendor under Section 2.

5. Coins Redemption and Payment

When a Member uses Coins to reserve a spot at your Venue, we'll pay you the cash-equivalent rate we've agreed with you for that redemption, on the payment schedule set out in your Vendor application or dashboard. We may deduct a platform fee from that payment, disclosed to you in advance. We aren't responsible for a Member's separate spending on food, drink, or gratuity at your Venue, which you collect directly.

6. Marketing and Use of Your Name and Content

You grant us a non-exclusive, royalty-free license to use your Vendor Materials in our Editorial Content, in Gathering listings, and in promotion of the Platform. We'll make reasonable efforts to keep this accurate and consistent with any brand guidelines you give us, but we may edit Vendor Materials for length, format, or clarity.

7. Independent Businesses; No Exclusivity

You and we are independent businesses; nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. Unless a separate written agreement says otherwise, you're free to work with other platforms, and we're free to feature or partner with other businesses, including your competitors.

8. Insurance and Compliance

You represent that you carry insurance appropriate to your business — including general liability and, where you serve alcohol, liquor liability — and that you'll provide proof of coverage on request.

Part B — Host Terms

9. Becoming a Host

Any Member in good standing may propose to become a Host, subject to our approval. We may consider your Account history — including past no-shows, cancellations, or conduct reports under the Member Terms — before approving you, and we may revoke hosting privileges at any time as described in Section 14.

10. Host Responsibilities

As a Host, you agree to:

  • provide accurate details about a Gathering you organize, including the Venue, time, headcount, cost, and any special rules (dress code, no plus-ones, and so on);
  • clearly communicate any event-specific rules or safety instructions to attendees before or at the start of the Gathering;
  • show up on time and stay reasonably available to attendees for the duration of the Gathering;
  • treat every attendee fairly and without discrimination, and help us look into a safety report involving your Gathering if we ask; and
  • not use attendee contact information you receive as a Host for anything beyond organizing that Gathering.

11. Confirming Holds and Interest-Gauging Gatherings

Under Section 4(e) of the Member Terms, a hold or an interest-gauging Gathering isn't binding until both you and the Club confirm it. As a Host, you agree to confirm or cancel a hold or interest-gauging Gathering within the window we display (or, if none is shown, within 48 hours of being asked), so Members aren't left waiting. If you don't respond in that window, we may cancel the hold or Gathering ourselves and notify anyone who had reserved a spot.

12. Host Benefits

We may award Coins, Membership credit, or another benefit we designate for successfully hosting a confirmed Gathering, according to the rates and conditions we post from time to time. We can change or discontinue Host benefits at any time, on notice as described in Section 19 of the Member Terms.

13. Host Content License

If you submit photos, a description, or other material to promote a Gathering you host, you grant us a worldwide, royalty-free, sublicensable license to use that material to list, promote, and recap the Gathering on the Platform. This license is limited to that purpose and doesn't extend to unrelated advertising without your separate consent.

14. Suspension of Hosting Privileges

We may suspend or revoke your ability to host — separately from, or in addition to, suspending your Account under Section 16 of the Member Terms — at any time, including for a pattern of late confirmations, attendee complaints, or any conduct described in Section 9 of the Member Terms.

Part C — Shared Provisions

15. Relationship to the Member Terms and Privacy Policy

This Agreement supplements, and doesn't replace, the Member Terms and our Privacy Policy. If something here directly conflicts with the Member Terms on a topic specific to Vendors or Hosts, this Agreement controls for that topic; the Member Terms control everything else.

16. Disclaimers

YOUR PARTICIPATION AS A VENDOR OR HOST IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DON'T GUARANTEE ANY LEVEL OF BOOKINGS, ATTENDANCE, COINS REDEMPTIONS, OR REVENUE FROM YOUR PARTICIPATION.

17. Limitation of Liability

To the fullest extent the law allows, our total liability to you for any claim connected to this Agreement won't exceed the greater of (a) the amounts we've paid or owed you under this Agreement in the twelve months before the claim arose, or (b) five hundred dollars ($500). Neither of us is liable for indirect, incidental, consequential, or punitive damages.

18. Indemnification

Each of us agrees to indemnify and hold the other harmless from third-party claims, damages, and reasonable legal fees arising from our own breach of this Agreement or our own negligence or misconduct — including, for a Vendor, conditions at your Venue, and for a Host, your conduct in organizing or running a Gathering.

19. Term and Termination of This Agreement

This Agreement lasts as long as you remain an active Vendor or Host. Either of us may end it at any time, with or without cause, on reasonable notice; we may end it immediately for a safety concern or a material breach. The provisions on content licenses (for material already used), disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

20. Dispute Resolution; Governing Law

Except for claims that qualify for small claims court or claims about intellectual property, any dispute arising out of this Agreement will be resolved through binding, individual arbitration administered by the American Arbitration Association under its commercial arbitration rules, rather than in court, and each of us waives the right to a jury trial. This Agreement is governed by California law, and any claim not subject to arbitration will be brought exclusively in the state or federal courts in Los Angeles County, California.

Before you or we may commence an arbitration, or send any formal demand seeking money or other relief, the party with the dispute must first send a written Notice of Dispute to the other side. Your notice should go to [legal/support email], and must describe the dispute, the specific claim, and the relief you're seeking. Our notice to you will go to the email address on your Account. Once a Notice of Dispute is sent, both sides agree to negotiate in good faith for at least [30] days before starting an arbitration or filing any formal demand. If you're unsure whether or how to proceed, you may wish to consult an attorney before sending or responding to a Notice of Dispute, though you're not required to have one to do so.

21. General Provisions

This Agreement, together with the Member Terms and Privacy Policy, is the whole agreement between us on this subject. Neither of us waives a right by failing to enforce it. If a provision is found unenforceable, the rest of the Agreement stays in effect. You can't assign this Agreement without our consent; we may assign it as part of a merger, acquisition, or sale of assets.
