Welcome to Y'ohana (the "Platform"), operated by Alpha Papa Tango, a [State] [entity type] headquartered in Los Angeles, California ("Company," "we," "us," "our," or "the Club"). Y'ohana helps members discover curated local places and events and meet each other through hosted small-group dinners and gatherings.
PLEASE NOTE: SECTION 17 BELOW CONTAINS AN ARBITRATION AGREEMENT THAT AFFECTS HOW LEGAL DISPUTES BETWEEN YOU AND US MUST BE RESOLVED. PLEASE READ IT CAREFULLY.
By creating an account, checking a box to accept these terms, or otherwise using the Platform, you agree to these Terms and Conditions (these "Terms") and to our Privacy Policy, which is incorporated by reference. If you do not agree, please don't use the Platform.
1. Definitions
- "Account" means the registered profile you create to use the Platform.
- "Content" means the guides, articles, curated lists, event listings, photos, and other material made available through the Platform, whether created by us, by Members, or by third parties.
- "Gathering" means any in-person or virtual dinner, meetup, outing, or social event organized, listed, or facilitated through the Platform, whether hosted by us or by another Member.
- "Member" or "you" means anyone who creates an Account.
- "Venue" means any restaurant, bar, café, park, or other third-party location featured in our Content or where a Gathering takes place.
2. Eligibility and Application
To apply for membership and create an Account, you must: (a) be at least 21 years of age; (b) reside somewhere use of the Platform isn't prohibited by law; (c) provide accurate information as part of your application — including your full legal name, year of birth, and the zip code of your primary residence — and keep it updated; and (d) not be someone we've previously banned, unless we authorize you in writing to reapply.
We may accept or decline any application at our discretion. You're responsible for keeping your login credentials confidential and for activity under your Account. Tell us right away at [support email] if you suspect someone else is using it.
We may decline to open, or may close, an Account at our discretion — for example, where someone is an owner, manager, or paid marketer of a Venue or a competing platform and appears to be using an Account to shape Content about their own business.
3. The Platform: Guides and Editorial Content
We publish original guides, place listings, curated collections, and an events calendar covering the Los Angeles area ("Editorial Content"). Editorial Content reflects our staff's and contributors' opinions at a point in time; a Venue's hours, menu, ownership, or availability can change without notice, and we don't guarantee any listing stays accurate. We aren't responsible for the quality, safety, pricing, or conduct of any independent Venue we write about or link to.
You can browse Content, save places to your profile, jot notes for your own reference, and — where we enable it — post public reviews about a Venue or Gathering you actually attended.
4. Gatherings: Dinners, Meetups, and Social Experiences
Some features let you request or reserve a spot at a Gathering, including small-group dinners matched using a short interest questionnaire, themed meetups, and neighborhood outings. If you host a Gathering yourself, or you operate a Venue that partners with us, our separate Vendor & Host Terms also apply to you.
(a) No guaranteed match or experience. Matching is based on the preferences you give us. It isn't a guarantee of compatibility, a particular group size, age range, or gender balance, and you may be matched with someone you've met through the Platform before.
(b) Venues are independent. We choose and reserve Venues in good faith, but we don't own, staff, or supervise them, and we don't prepare or serve any food or drink. We can't guarantee a Venue will accommodate a dietary restriction or allergy — confirm directly with Venue staff before you order. Food, drink, and gratuity at a Gathering are separate from any Platform fee and are on you.
(c) Conduct at Gatherings. Treat other Members, hosts, and Venue staff with respect, attend only the Gathering you actually reserved (no uninvited guests), and follow the Venue's house rules and applicable law, including around alcohol service.
(d) Cancellations and no-shows. You can cancel a reservation within the cancellation window shown at booking. Cancelling later, or not showing up, may result in a no-show fee, and repeated no-shows or late cancellations within a rolling period may lead to a suspension of your ability to book future Gatherings. Whether a cancellation was timely, or whether a no-show occurred at all, is determined by the Club together with the Gathering's host — it isn't automatic, and either of us can flag it for review.
(e) Holds and interest-gauging Gatherings. Reserving a spot may first place a hold rather than a confirmed reservation. We may also list a Gathering only to "gauge" interest — for example, to see whether enough Members want to attend before we commit to a Venue. A hold and an interest-gauging Gathering are not confirmed or binding, and we don't promise either will become an actual event, until both the Gathering's host and the Club confirm it; we'll let you know once that happens, and you shouldn't make firm plans around either before then.
(f) Reservation communications. If you provide a phone number, you agree we may send you transactional texts about a booking, such as reminders or a last-minute Venue change. Message and data rates may apply, and you can opt out at any time by following the instructions in the text.
5. Community Visibility and Interactions with Other Members
Certain information — like your display name, public reviews, public saved lists, and upcoming Gathering reservations — may be visible to other Members so the community and matching features work. You can block or report another Member at any time. We'll make reasonable efforts to keep blocked Members from being matched with or shown to each other, though we can't guarantee this in every case, especially at open or public Company Events.
6. Company-Hosted Events; Photo and Video Consent
We may occasionally host our own promotional or community events ("Company Events"). Attending one means you agree to any additional rules posted for that event. We and our event partners may photograph or film Company Events for promotional use, and attending means you consent to appear in that footage. If you take your own photos or video at a Company Event and share them with us, you grant us a worldwide, royalty-free, sublicensable license to use that material for promotion, and you confirm that anyone else who appears in it has agreed to that use too.
7. Membership Tiers, Fees, and Payment
Browsing Editorial Content is free. Access to Gatherings, ad-free browsing, or other premium features may require a paid membership ("Membership"), and you can separately choose to make a voluntary contribution to help fund our editorial programming ("Support Contribution").
- Billing. Membership fees and any Support Contribution you authorize are charged to your payment method on file, in the amount and frequency we disclose before you confirm payment.
- Coins. Some Membership tiers include Coins, described in Section 8.
- Auto-renewal. Paid Memberships renew automatically for successive periods of the same length unless you cancel before the renewal date. Cancelling stops future charges but doesn't refund the period you've already paid for.
- Price changes. We may change Membership pricing on a going-forward basis with notice; using the Platform after a price change takes effect means you accept the new price starting with your next renewal.
- Refunds. Except where the law requires otherwise, fees and Support Contributions are non-refundable, including for partial periods, unused features, or early cancellation. If your jurisdiction gives you a mandatory cancellation or "cooling-off" right for digital subscriptions, that right still applies regardless of anything else in this section.
- App store purchases. If you subscribe through a mobile app store, that store's payment terms and refund rules also apply, and we don't control or store your payment details in that case.
8. Coins
We may make available a virtual credit called a "Coin" that Members can use to reserve a spot at a Gathering or redeem for other features we designate from time to time.
- No cash value. Coins have no cash value and aren't redeemable for cash, a check, or any other form of currency, from us or anyone else. Coins aren't your property, don't earn interest, and aren't a deposit or an investment.
- How you get Coins. Depending on your Membership tier, Coins may be included with your Membership, and you may be able to purchase additional Coins separately at the price we post at the time.
- Non-transferable. Coins are personal to your Account and can't be sold, gifted, traded, or otherwise transferred to another Member or any third party.
- Roll-over and expiration. Coins included with a Membership are added on your renewal date and roll over for up to [3] months from the date they're added, after which they expire; Coins you purchase separately don't expire as long as your Account stays active, up to a maximum balance of [X] Coins at any time. Your current balance and any upcoming expiration will be shown in your Account.
- No refunds. Coins are non-refundable once added to your Account, and any unused Coins are forfeited if your Account is suspended or terminated, except where the law requires otherwise.
We may change how Coins are earned, used, or valued, or discontinue Coins altogether, on notice as described in Section 19.
9. Prohibited Conduct
We want every Member to feel safe, respected, and confident that the people around them are who they say they are. Beyond anything else in these Terms, you agree not to:
- misrepresent who you are or your affiliation with the Club — for example, impersonating another person, or falsely claiming to be a staff member, official host, or authorized representative of the Club, or misrepresenting your connection to a Venue or business;
- behave in a way that makes another Member, host, or Venue staff member feel unsafe or uncomfortable — including unwelcome romantic or sexual advances, discriminatory or demeaning remarks, aggressive or intimidating behavior, taking someone's photo or contact information without consent, or persistent unwanted contact after being asked to stop;
- break the law, or disregard any event-specific rules, capacity limits, or safety instructions we communicate to you in connection with a particular Gathering or Company Event — house rules and safety instructions given for a specific event are just as binding as these Terms;
- use the Platform to solicit money, recruit for another service, or run a commercial promotion without our consent;
- scrape, reverse-engineer, or build a competing dataset from our Content;
- upload malicious code; or
- harass, stalk, or threaten another Member.
Violating any of the above may lead to immediate removal from a Gathering or Company Event, suspension or termination of your Account under Section 16, and, where appropriate, a report to the Venue or to law enforcement.
10. Privacy
How we collect and use personal information — including through cookies, analytics tools, and third-party advertising partners — is described in our Privacy Policy, which is part of these Terms. Using the Platform means you agree to that Privacy Policy too.
11. Intellectual Property; Links
All Editorial Content, trademarks, logos, and Platform software belong to us or our licensors and are protected by applicable intellectual property law. Apart from the limited licenses spelled out in these Terms, we don't grant you any rights to them. You may link to our public pages, but you may not frame our Content, present it in a way that implies we endorse your site or product, or use it for unauthorized commercial purposes — and we can withdraw permission for any link. We link to third-party Venues and websites for convenience only; we don't control and aren't responsible for their content, policies, or practices.
12. Assumption of Risk and Your Safety
Your safety comes first, and we'd rather you leave a Gathering early than stay somewhere that doesn't feel right. Meeting new people in person carries real risk that no amount of screening can fully remove, so we ask every Member to take sensible precautions: let a friend or family member know where you're going and when you expect to be back, meet and stay at the public Venue rather than moving to a private location, arrange your own transportation (especially if alcohol is involved), and trust your instincts. If you ever feel unsafe or uncomfortable, or you witness concerning behavior, you're free to leave immediately — you don't need our permission — and we ask that you tell us afterward at [safety email] so we can look into it. You also agree to follow our posted Safety Guidelines, which we may update from time to time.
With that said, you understand and agree that:
- attending any Gathering or Company Event is voluntary, and you're accepting the risks that ordinarily come with meeting new people in person and with whatever the specific activity involves — physical activity, alcohol service, or travel, for example;
- we set expectations for Gatherings and act on reports we receive, but we cannot guarantee the conduct of any other Member, host, or Venue guest, and we cannot fully vet every attendee's background or intentions; and
- some gatherings may be organized by Members themselves rather than by us, and we're not responsible for a Member-organized gathering that wasn't scheduled through the Platform.
13. Disclaimers
THE PLATFORM AND ALL ITS CONTENT AND GATHERINGS ARE OFFERED "AS IS" AND "AS AVAILABLE," WITH NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T PROMISE THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY VENUE, LISTING, OR MATCH WILL MEET YOUR EXPECTATIONS. YOU USE THE PLATFORM, AND ATTEND ANY GATHERING, AT YOUR OWN RISK.
14. Limitation of Liability; Release
To the fullest extent the law allows, our total liability to you for any claim connected to the Platform or a Gathering won't exceed the greater of (a) what you paid us in the twelve months before the claim arose, or (b) one hundred dollars ($100). We're not liable for indirect, incidental, consequential, or punitive damages.
To the extent the law allows, you release us and our officers, employees, and agents from claims arising out of your attendance at a Gathering or Company Event, except for claims arising from our own gross negligence or willful misconduct.
15. Indemnification
You agree to indemnify and hold us harmless from third-party claims, damages, and reasonable legal fees arising from your breach of these Terms or your misconduct at a Gathering or Company Event.
16. Suspension and Termination
Member safety comes before convenience. If we believe, in good faith, that you pose a risk to another Member, a host, Venue staff, or the community — including because of conduct described in Section 9 — we may immediately suspend your Account and bar you from any upcoming Gathering or Company Event while we look into it, without advance notice.
More generally, we may suspend or end your Account at any time, with or without cause, and without liability, including for violating these Terms. You can close your Account anytime by contacting [support email]. Sections covering intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and any payment obligations you already owe survive termination.
17. Dispute Resolution; Arbitration Agreement
Please read this section carefully — it affects your legal rights.
Before you or we may commence an arbitration, or send any formal demand seeking money or other relief, the party with the dispute must first send a written Notice of Dispute to the other side. Your notice should go to [legal/support email], and must describe the dispute, the specific claim, and the relief you're seeking. Our notice to you will go to the email address on your Account. Once a Notice of Dispute is sent, both sides agree to negotiate in good faith for at least [30] days before starting an arbitration or filing any formal demand. If you're unsure whether or how to proceed, you may wish to consult an attorney before sending or responding to a Notice of Dispute, though you're not required to have one to do so.
18. Governing Law and Venue
These Terms are governed by California law, without regard to conflict-of-laws rules, except where local consumer-protection law mandatorily says otherwise. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Los Angeles County, California.
19. Changes to These Terms
We may update these Terms from time to time. If a change materially affects your rights, we'll notify you by email or an in-app notice at least [14] days before it takes effect; using the Platform after that means you accept the update. We can make non-material changes — formatting, clarifications — at any time without advance notice.
20. Copyright Complaints
If you believe Content on the Platform infringes your copyright, send a notice to [copyright agent email/address] that identifies the work, describes the allegedly infringing material, includes your contact information, and states — under penalty of perjury — that you're authorized to act and that the use isn't authorized by the copyright owner, its agent, or the law.
21. General Provisions
These Terms, together with our Privacy Policy, are the whole agreement between you and us about the Platform and replace any earlier agreement on the same subject. Being a Member doesn't make you our employee, agent, or representative. If we don't enforce part of these Terms, that's not a waiver of it. If a court finds a provision unenforceable, the rest of these Terms still apply. You can't assign these Terms to someone else; we may assign them as part of a merger, acquisition, or sale of assets.
